Not the most exciting read, but we all know the importance of small print.

1. About Brighton Ideas

Brighton Ideas is the trading name of Emily-Jane Brighton, a sole trader operating in England and Wales.

These Terms of Business apply to all services provided unless otherwise agreed in writing. By paying a deposit, confirming a booking in writing, or engaging services, you agree to these Terms.

2. Services

Services may include website design (fixed packages, expanded builds and custom builds), website add-ons (including blog setup, shop structure, booking integrations and additional features), website management, social media and content creation, mailing list setup and management, branding and strategy services, monthly retainers, one-off sessions, and digital resources.

The scope of each project will be agreed in writing before work begins. Any work outside the agreed scope may incur additional fees.

3. Deposits and Payment

A 25% non-refundable deposit is required to secure your project start date. Work will not begin until the deposit has been received.

The remaining balance is payable within 14 days of invoice unless otherwise agreed in writing.

For larger projects, staged payments may be agreed in advance.

Failure to pay invoices within agreed terms may result in suspension of services, project delays, or withholding of final files or website transfer until payment is received.

4. Retainers and Ongoing Support

For monthly retainer services, payment is due in advance of each billing period unless otherwise agreed.

Either party may terminate a retainer agreement with 30 days’ written notice unless a different notice period has been agreed in writing.

Fees already paid are non-refundable once a billing period has commenced.

5. Scope of Work and Changes

The agreed scope of work will be outlined in writing before a project begins.

Requests for additional features, pages, integrations, ecommerce functionality, booking systems, animations, structural changes, or other enhancements not included in the original agreement will be quoted separately before work proceeds.

I reserve the right to decline requests that fall outside the agreed project parameters.

6. Client Responsibilities

You agree to:

  • Provide content, images, and required materials in a timely manner

  • Ensure you hold the rights to any content supplied

  • Provide feedback within reasonable timeframes

Delays in providing content may result in project delays.

If a project is inactive for more than 14 days due to lack of client input, I reserve the right to pause the project and reschedule at my discretion.

7. Cancellations

If you cancel a project:

  • The 25% deposit is non-refundable.

  • You will be invoiced for work completed up to the cancellation date.

  • If more than 50% of the project has been completed, at least 50% of the total project fee will be payable.

Refunds (if any) will be determined at my discretion and based on work completed.

8. Intellectual Property

Upon full payment, ownership of the final website and agreed deliverables transfers to you.

I retain the right to display completed work in my portfolio and marketing materials.

Licensed fonts, templates, stock imagery, and third-party assets remain subject to their original licences and terms.

9. Third-Party Platforms

Websites may be built using third-party platforms such as Squarespace or others as agreed.

You are responsible for maintaining platform subscriptions, hosting fees, domain renewals, and related costs unless otherwise agreed in writing.

I am not responsible for outages, pricing changes, technical limitations, or policy changes imposed by third-party platforms.

10. Results and Performance Disclaimer

I do not guarantee specific results including search engine rankings, traffic increases, follower growth, engagement levels, leads, or revenue outcomes.

Marketing and website performance depend on a range of factors beyond my control, including market conditions, competition, platform algorithms, and client implementation.

11. Suspension of Services

I reserve the right to suspend or withhold services where invoices remain unpaid beyond agreed payment terms.

12. Limitation of Liability

My total liability for any claim arising from services provided shall not exceed the total fees paid for the relevant project.

I shall not be liable for indirect or consequential losses, including but not limited to loss of profit, business interruption, loss of data, or reputational damage.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.

13. Governing Law

These Terms of Business are governed by the laws of England and Wales.

Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
